Agreement to Terms

By downloading, installing, or using the Zima mobile application ("the App"), you agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you and Zima ("we," "us," or "our").

If you do not agree to these Terms, you must not download, install, or use the App. Please read these Terms carefully before using Zima.

Eligibility

To use Zima, you must:

• Be at least 13 years of age
• Have the legal capacity to enter into this agreement
• Not be prohibited from using the App under applicable laws

If you are between 13 and 18 years old, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf. Parents and guardians are responsible for supervising their minor's use of the App.

We do not knowingly allow users under 13 to create accounts or use the App. If we discover that a user is under 13, we will terminate their access and delete any associated data.

Description of Service

Zima is a gamified digital wellness application designed to help you manage your screen time through an interactive virtual companion (the "Zima"). The App includes:

• A virtual pet that reflects your digital habits in real-time
• Home screen widget for at-a-glance wellness monitoring
• Quests, streaks, and achievement systems
• Focus mode and app blocking tools
• Habit tracking and reading timers
• Optional social features including friend challenges and leaderboards
• Customizable cosmetic items for your Zima

Your Privacy

Account Registration

Some features of Zima may require you to create an account. When creating an account:

• You must provide accurate and complete information
• You are responsible for maintaining the confidentiality of your login credentials
• You are responsible for all activities that occur under your account
• You must notify us immediately of any unauthorized use of your account

You may choose a username for your account. Usernames must not:

• Impersonate another person or entity
• Contain offensive, vulgar, or inappropriate language
• Infringe on anyone's intellectual property or rights
• Violate any applicable laws or regulations

We reserve the right to reclaim or modify usernames that violate these guidelines.

License Grant

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to:

• Download and install the App on devices you own or control
• Use the App for your personal, non-commercial purposes
• Access and use features made available to you

This license does not include the right to sublicense, modify, or create derivative works of the App.

Restrictions on Use

You agree NOT to:

• Modify, reverse engineer, decompile, disassemble, or attempt to derive the source code of the App
• Rent, lease, loan, sell, redistribute, or sublicense the App
• Copy, reproduce, or distribute the App or any portion thereof
• Remove, alter, or obscure any proprietary notices, labels, or marks
• Use the App for any unlawful purpose or in violation of any laws
• Use the App in any way that could damage, disable, overburden, or impair it
• Circumvent, disable, or interfere with security-related features
• Use automated systems or software to extract data from the App
• Use the App while operating a vehicle or in situations requiring full attention
• Harass, abuse, or harm other users through the App's social features

User Conduct & Community Guidelines

When using Zima's social features, you agree to:

• Treat other users with respect and kindness
• Not engage in harassment, bullying, or abusive behavior
• Not share inappropriate, offensive, or harmful content
• Not spam or flood other users with unwanted messages
• Not attempt to deceive or mislead other users
• Report violations of these guidelines to us

We reserve the right to suspend or terminate accounts that violate community guidelines, without prior notice.

In-App Purchases

Zima offers optional in-app purchases, including:

• Cosmetic items (skins, accessories, themes for your Zima)
• Premium features and enhancements

Payment Terms

• All purchases are processed by Apple App Store or Google Play Store
• Prices are displayed in your local currency and may include applicable taxes
• Payment is charged upon confirmation of purchase
• You must have a valid payment method on file with the app store

Refunds

Refund policies are governed by Apple or Google's respective store policies. To request a refund, please contact the app store where you made your purchase. We generally cannot process refunds directly.

Virtual Items

Virtual items (including cosmetics, in-app currency, and other digital content) are:

• Licensed to you, not sold
• Non-transferable between accounts
• Non-exchangeable for real money or monetary value
• Subject to modification or discontinuation at our discretion

We may, but are not obligated to, offer compensation if virtual items are modified or discontinued.

User Content

If you submit any content through the App (such as custom pet names, usernames, or feedback), you:

• Retain ownership of content you create
• Grant us a non-exclusive, royalty-free, worldwide license to use, display, and distribute such content as necessary to operate the App
• Warrant that you have the right to grant this license
• Agree that content you submit does not violate any laws or third-party rights

Intellectual Property

The App, including all content, features, functionality, graphics, user interface, audio, video, text, and the Zima character designs, is owned by Zima and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

The Zima name, logo, character designs, and associated branding are trademarks of Zima. You may not use these marks without our prior written consent.

We respect the intellectual property rights of others. If you believe any content on the App infringes your rights, please contact us.

Health & Wellness Disclaimer

Please understand that:

• Zima does not diagnose, treat, cure, or prevent any medical condition
• Screen time data shown may not be 100% accurate and should be used as a general guide only
• Zima is not a replacement for professional medical, mental health, or addiction counseling
• If you have concerns about device addiction, anxiety, or mental health, please consult a qualified healthcare professional
• Zima is not reviewed, approved, or regulated by the FDA or any health regulatory body

We encourage users to maintain a balanced approach to digital wellness and seek professional guidance when needed.

Disclaimer of Warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability or fitness for a particular purpose
• Warranties that the App will be uninterrupted, timely, secure, or error-free
• Warranties that the App will be free of viruses or harmful components
• Warranties regarding the accuracy or reliability of any content or results

We do not warrant that the App will meet your expectations or requirements. Your use of the App is at your own risk.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• Zima shall not be liable for any indirect, incidental, special, consequential, or punitive damages
• Zima shall not be liable for any loss of profits, data, use, goodwill, or other intangible losses
• Our total liability for any claims shall not exceed the amount you paid us in the past 12 months, or $50, whichever is greater

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

Indemnification

You agree to indemnify, defend, and hold harmless Zima, its founders, employees, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from:

• Your use of the App
• Your violation of these Terms
• Your violation of any rights of another person or entity
• Your content or conduct on the App

Modifications to the App

We reserve the right to:

• Modify, suspend, or discontinue any part of the App at any time
• Update the App with or without notice
• Change features, functionality, or content
• Impose limits on certain features or restrict access to parts of the App

We shall not be liable to you or any third party for any modification, suspension, or discontinuance of the App.

Termination

By You: You may stop using the App at any time by uninstalling it from your device. Deleting the App will remove all locally stored data.

By Us: We may terminate or suspend your access to the App immediately, without prior notice, for any reason, including:

• Violation of these Terms
• Conduct that we believe is harmful to other users, us, or third parties
• Suspected fraud or illegal activity
• Extended periods of inactivity

Upon termination, your right to use the App will immediately cease. Provisions of these Terms that by their nature should survive termination will survive (including intellectual property, disclaimers, and limitations of liability).

Dispute Resolution

Informal Resolution: Before filing a formal legal claim, you agree to contact us first and attempt to resolve any dispute informally. Most concerns can be quickly resolved this way.

Governing Law: These Terms shall be governed by and construed in accordance with the laws applicable to mobile applications distributed internationally, without regard to conflict of law principles.

Jurisdiction: For any disputes that cannot be resolved informally, you agree to submit to the personal jurisdiction of a court located in the jurisdiction where we operate.

General Provisions

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Zima regarding the App and supersede all prior agreements.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.

Assignment

You may not assign or transfer these Terms, or your rights and obligations under them, without our prior written consent. We may assign our rights and obligations without restriction.

No Third-Party Beneficiaries

These Terms do not create any third-party beneficiary rights.

Changes to These Terms

We reserve the right to modify these Terms at any time. If we make material changes:

• We will update the "Last Updated" date at the top of this page
• For significant changes, we may notify you through the App or app store update notes
• Your continued use of the App after changes constitutes acceptance of the modified Terms

If you do not agree to the modified Terms, you must stop using the App.
